Common use of Payment of Transfer Taxes, Fees and Other Expenses Clause in Contracts

Payment of Transfer Taxes, Fees and Other Expenses. (a) The Company agrees to pay, or to cause its applicable Affiliate to pay, any and all original issue taxes and stock transfer taxes that may be imposed with respect to the delivery of any LTIP Units or Shares (as defined in the Plan) pursuant to this Agreement, together with any and all other fees and expenses necessarily incurred by the Company or any of its Affiliates in connection therewith.
