Payment Reports and Payments. Ruthigen shall make payments to Oculus monthly within thirty (30) days after the end of each calendar month in which Net Sales occurred, such period to be extended to forty five (45) days if sales are made and recorded by a sublicensee of Ruthigen. A report summarizing the Net Sales of the Product during the relevant month shall be delivered to Oculus within thirty (30) days or forty five (45) days (as applicable) following the end of each calendar month for which payments are due. Such reports shall constitute Confidential Information of both Parties.

Exhale shall make payments to Schering quarterly within thirty (30) days after the end of each calendar quarter in which Net Sales occurred, such period to be extended to fourty five (45) days if sales are made and recorded by a sublicensee of Exhale. A report summarizing the Net Sales of the Product during the relevant quarter shall be delivered to Schering within thirty (30) days or fourty five (45) days (as applicable) following the end of each calendar quarter for which payments are due.

Himalaya shall, at the time of payment of any amounts pursuant to Section 5.1 (and Exhibit G), deliver to BioAtla any reports of Himalaya, or reports received by Himalaya from a Licensee of Himalaya related to such payments, in addition to any other information requested by BioAtla with respect to such payments and the calculation thereof.
