Payments and Termination. 5.1 This Agreement shall enter into force upon the Customer accepting the terms set forth herein and shall be automatically prolonged for periods of thirty (30) days or for periods of one (1) year, as designated by the Customer for each Customer Channel, (each such period a “Subscription Period”), until terminated by the Customer in accordance with Section 5.3 or 5.5 or by Epidemic Sound prior to the end of the current Subscription Period or in accordance with Section 5.7. 5.2 For the rights granted herein and for each Subscription Period the Customer shall pay to Epidemic Sound, a license fee for the Subscription, in the amount stated in the Subscription section in the Epidemic Sound Online Player for the relevant Subscription Period. 5.3 Epidemic Sound may change the license fee for the Subscription from time to time, and will communicate any license fee changes to the Customer by e-mail to the e-mail address registered by the Customer to the Subscription with thirty (30) days prior notice. By continuing to use the Subscription after the license fee takes effect, the Customer accepts the new license fee. 5.4 If the Customer resides in a country which is part of the European Union and has purchased a Subscription, the Customer has the right to terminate the Subscription, by sending an e-mail to ▇▇▇▇▇@▇▇▇▇▇▇▇▇▇▇▇▇▇.▇▇▇ and receive a full refund within fourteen (14) days of purchase (the “Cooling-off Period”), but only if the Customer has not started to consume the Subscription by downloading a Music Piece. 5.5 The Customer’s payment to Epidemic Sound will automatically renew at the end of each Subscription Period, unless the Customer terminates the Subscription through the Customer’s Epidemic Sound account prior to the end of the current Subscription Period. The termination will take effect the day after the last day of the current Subscription Period. 5.6 For the avoidance of doubt, if the Customer terminates this Agreement after the Cooling-off Period is over (where applicable), and/or before the end of the Subscription Period, Epidemic Sound will not refund any subscription fees already paid to Epidemic Sound. 5.7 Epidemic Sound shall have the right to terminate the Subscription and this Agreement and to suspend the Customer’s access to the Epidemic Sound music service at any time in the event of the Customer’s actual or suspected unauthorised use of the Music Pieces or non- compliance with the provisions set forth in this Agreement. 5.8 If the Customer...

Payments and Termination. 9.1 The Customer is required to pay an annual subscription for use of this Service. The subscription fee is payable annually in advance. 9.2 We provide a full refund if you cancel the subscription within 14 days – after that no refunds are given. Users should avail of the free trial to evaluate OTISS and check that it meets their needs. 9.3 If the Customer fails to pay the annual subscription then access to the Service will be terminated within 30 days of the renewal date. After termination, the Customer can request a copy of The Data, which will be supplied within 10 working days in a format compatible with Microsoft Excel. 9.4 Intrinsica offers free trials to allow potential users to evaluate the OTISS system. It is understood that during the free trial period, OTISS must not be used for commercial purposes without prior agreement. In cases where commercial usage is suspected, Intrinsica reserves the right to immediately terminate the free trial and prevent access to the evaluation data.

Payments and Termination. (a) If this Agreement is terminated a. by the Company pursuant to Section 5.1 (a), the Review Fee paid or mined up to the date of termination shall be returned to the Company and/or voided as liquidated damages, in addition to such other remedies as may be available to the Company under the law; or b. by the Publisher pursuant to Section 5.1 (a) or (b), the Review Fee paid or earned up to the date of termination shall be retained by the Publisher as liquidated damages, in addition to such other remedies as may be available to the Publisher under the law.

Payments and Termination. The term ("TERM") of this Agreement shall commence on the date set forth above and shall continue thereafter so long as any Equipment Schedule entered into pursuant to this Agreement remains in effect. The lease term and lease payment for the Equipment shall be as stated herein and in the respective Equipment Schedule(s). At the end of such lease term provided no Event of Default (as hereinafter defined) has occurred and is continuing, Hotel shall have the option exercisable on no less than 135 days prior written notice to eRoom to (A) purchase the Equipment for its then Fair Market Value (as hereinafter defined), (B) renew the Equipment Schedule(s) under mutually acceptable terms, or (C) terminate the Equipment Schedule(s) according to its terms. Upon payment in full of the amount required to exercise Hotel's option to purchase the Equipment, eRoom shall transfer its right, title and interest in the Equipment to Hotel "AS-IS WHERE IS," without any express or implied representations or warranties whatsoever concerning the condition of the Equipment. If, upon the termination of the applicable Equipment Schedule as to any Placed Item, Hotel fails or refuses to return and deliver possession of Placed Item to eRoom pursuant to Section 15 hereof within ten (10) business days after the expiration of the term of the Equipment Schedule, in addition to all other rights and remedies available to eRoom, Hotel shall be liable to eRoom for the Fair Market Value of such Placed Items until returned to eRoom as well as all other damages incurred by eRoom. All Payments (as hereinafter defined) shall, unless otherwise directed by eRoom in writing, be made to eRoom on the Payment Date (as hereinafter defined) by electronic transfer of funds, and Hotel shall execute all authorizations necessary for such electronic transfers. If the Payment Date is not a business day, Payments for such period shall be due on the next business day. Any Payment not made by the related Payment Date shall be subject to a late payment fee of ten percent (10%) of the outstanding Payment amount.
