Payments by Reinsurer. Reinsurer hereby agrees that all Reinsured Liabilities shall be payable by Reinsurer on the basis of the liability of the Company under the Reinsured Contracts, without diminution because of the insolvency, liquidation or rehabilitation of the Company or the appointment of a conservator, receiver, liquidator or statutory successor of the Company, directly to the Company or to its conservator, receiver, liquidator or other statutory successor.
