Common use of Payments of Fees and Expenses Clause in Contracts

Payments of Fees and Expenses. The Partnership, and the General Partner, jointly and severally, agree with you to pay or cause to be paid: (a) the registration fee in connection with the registration of the Units under the Act; (b) the filing fees and expenses in connection with the qualification of the Units for offering and sale under state securities laws as provided in Section 3(c) hereof; (c) the filing fees and expenses incident to securing any required review by the NASD of the terms of sale of the Units; (d) the fees, disbursements and expenses of the accountants and counsel for the Partnership in connection with the registration of the Units under the Act and all other expenses in connection with the preparation, printing and filing of the Registration Statement, any Preliminary Prospectus and the Prospectus and amendments and supplements thereto and the mailing and delivering of copies thereof to you; (e) the cost of printing and delivery to you of copies of the Registration Statement and all amendments thereto, of the Prospectus and any supplements or amendments thereto, and of the Subscription Agreement; (f) the cost of mailing and reproducing this Agreement, any agreements between you and any Participating Brokers, any Blue Sky surveys, all sales materials, and any other documents in connection with the offer, purchase and sale of Units; (g) the costs and charges of any depositary, escrow agent, transfer agent or registrar; and (h) all other costs and expenses incident to the performance of the obligations of the Partnership and the General Partner under this Agreement which are not otherwise specifically provided for in this Section. Notwithstanding the foregoing, the General Partner agrees to pay or cause to be paid all Organization and Offering Expenses.

Payments of Fees and Expenses. The Partnership, Company covenants and agrees with the General Partner, jointly and severally, agree with you to Underwriters that (a) the Company will pay or cause to be paid: paid the following: (ai) the registration fee expenses incurred in connection with the registration printing and filing of the Units under Registration Statement as originally filed and of each amendment thereto, (ii) expenses incurred in connection with the Act; preparation, issuance and delivery of the certificates for the Shares to the Underwriters, (biii) the filing fees and other charges of the Company's counsel and accountants, (iv) expenses incurred in connection with the qualification of the Units for offering and sale Shares under state securities laws as provided in Section 3(c) hereof; (c) the laws, including filing fees and expenses incident to securing any required review by the NASD reasonable fees and other charges of the terms of sale of the Units; (d) the fees, disbursements and expenses of the accountants and counsel for the Partnership Underwriters in connection therewith and in connection with the registration preparation of the Units under the Act and all other Blue Sky Memorandum, (v) expenses incurred in connection with the preparation, printing and filing of the Registration Statement, any Preliminary Prospectus and the Prospectus and amendments and supplements thereto and the mailing and delivering of copies thereof to you; (e) the cost of printing and delivery to you the Underwriters of copies of the Registration Statement as originally filed and all amendments of each amendment thereto, of the preliminary prospectuses, and of the Prospectus and any amendments or supplements or amendments thereto, and of the Subscription Agreement; (fvi) the cost of mailing and reproducing this Agreement, any agreements between you and any Participating Brokers, any Blue Sky surveys, all sales materials, and any other documents expenses incurred in connection with the offer, purchase printing and sale delivery to the Underwriters of Units; copies of the Blue Sky Memorandum; (gvii) the costs fee of the NASD and charges of any depositary, escrow agent, transfer agent or registrar; and (hviii) all other costs the fees and expenses incident to incurred in connection with the performance listing of the obligations [Type of Security] on the Partnership [Name of Exchange/Interdealer Quotation System], including filing and the General Partner under this Agreement which are not otherwise specifically provided for in this Section. Notwithstanding the foregoing, the General Partner agrees to pay or cause to be paid all Organization and Offering Expenseslisting fees.
