Common use of PAYMENTS OWING TO THE CUSTODIAN Clause in Contracts

PAYMENTS OWING TO THE CUSTODIAN. Upon termination of this Agreement pursuant to Section 16.1 or 16.2 with respect to any Fund, the applicable Fund shall pay to the Custodian any compensation then due and shall reimburse the Custodian for its other fees, expenses and charges. In the event of: (a) any Fund’s termination of this Agreement with respect to such Fund for any reason other than as set forth in Section 16.1 or 16.2 or (b) a transaction not in the ordinary course of business pursuant to which the Custodian is not retained to continue providing services hereunder to a Fund (or its successor), the -15- applicable Fund shall pay to the Custodian any compensation due through the end of the then-current term (based upon the average monthly compensation previously earned by the Custodian with respect to the Fund for the previous twelve (12) month period) and shall reimburse the Custodian for its other fees, expenses and charges actually incurred. Upon receipt of such payment and reimbursement, the Custodian will deliver the Fund’s cash and its securities and other financial assets as set forth in Section 17.

In the event of: (a) any the Fund’s 's termination of this Agreement with respect to such Fund during the Initial Term for any reason other than as set forth in Section 16.1 or 16.2 (or, in the case of an additional Fund added to this Agreement pursuant to Section 20.13 hereof, a termination occurring within one year of the date such Fund is added to the Agreement), or (b) a transaction not in the ordinary course of business pursuant to which the Custodian is not retained to continue providing services hereunder to a the Fund (or its respective successor), the -15- applicable Fund shall pay to the Custodian any compensation due through the end of the then-current term Initial Term (based upon the average monthly compensation previously earned by the Custodian with respect to the Fund for the previous twelve (12) month periodFund) and shall reimburse the Custodian for its other fees, expenses and charges actually incurredcharges. Upon receipt of such payment and reimbursement, the Custodian will deliver the Fund’s cash and its securities and other financial assets as set forth in Section 17.

In the event of: (a) of any Fund’s 's termination of this Agreement with respect to such Fund or a Portfolio of the Fund for any reason other than as set forth in Section 16.1 or 16.2 or (b) a transaction not in the ordinary course of business pursuant to which the Custodian is not retained to continue providing services hereunder to a Fund or Portfolio (or its respective successor), the -15- applicable Fund shall pay to the Custodian the present value (as calculated at the then-prevailing risk-free rate) of any compensation due through the end of the then-current term (based upon the average monthly compensation previously earned by the Custodian with respect to the Fund for the previous twelve (12) month periodor Portfolio) and shall reimburse the Custodian for its other fees, expenses and charges actually incurredincurred up to and including the termination effective date. Upon receipt of such payment and reimbursement, the Custodian will deliver the Fund’s or Portfolio’s cash and its securities and other financial assets as set forth in Section 17.
