Payments to Certain Individuals. In order to ensure compliance with applicable Tax requirements, notwithstanding anything to the contrary herein, any payments that are compensation for services performed for Income Tax purposes and are made in connection with the Transaction to any individual employed by the Company or any of its Subsidiaries shall be made through the payroll processing system of the Surviving Company and its Subsidiaries.
