Common use of Payments to Falcon Clause in Contracts

Payments to Falcon. In consideration for the reduction of the Falcon Transfer Prices by the Falcon Transfer Price Reductions, effective only at such time as the aggregate amount of the Capital of the Receivable Interests of the Investors equals the Falcon Residual, each Investor hereby agrees that the Agent shall not distribute to the Investors and shall immediately remit to Falcon any Discount, Funding Charges, Collections or other payments received by it to be applied pursuant to the terms hereof or otherwise to reduce the Capital of the Receivable Interests of the Investors.

Payments to Falcon. In consideration for the reduction of the Falcon Transfer Prices by the Falcon Transfer Price Reductions, effective only at such time as the aggregate amount of the Capital of the Receivable Purchaser Interests of the Investors Financial Institutions in the Falcon Group equals the Falcon Residual, each Investor Financial Institution in the Falcon Group hereby agrees that the Falcon Agent shall will not distribute to the Investors Financial Institutions in the Falcon Group and shall will immediately remit to Falcon any Discount, Funding ChargesYield, Collections or other payments received by it to be applied pursuant to the terms hereof or otherwise to reduce the Capital of the Receivable Purchaser Interests of the InvestorsFinancial Institutions in the Falcon Group.
