Common use of Payments to Finance LLC, etc Clause in Contracts

Payments to Finance LLC, etc. With respect to each Receivable transferred to Finance LLC under the First Tier Sale Agreement, Finance LLC has given reasonably equivalent value to Originator in consideration therefor, and such transfer was not made for or on account of an antecedent debt. No transfer by Originator of any Receivable under the First Tier Sale Agreement is or may be voidable under any section of the Federal Bankruptcy Code or other statutory provisions or common law or equitable action by any Person. No transfer by Finance LLC of any Receivable under this Agreement is or may be voidable under any section of the Federal Bankruptcy Code or other statutory provisions or common law or equitable action by any Person.
