Common use of Payoff Letter; Termination Statements Clause in Contracts

Payoff Letter; Termination Statements. Copies of a duly executed payoff letter, in form and substance reasonably satisfactory to Agent, by and between all parties to the Prior Lender loan documents evidencing repayment in full of all Prior Lender Obligations, together with (a) UCC-3 or other appropriate termination statements, in form and substance satisfactory to Agent, manually signed by Prior Lender Agent or the applicable Prior Lender releasing all liens of Prior Lender Agent or any Prior Lender upon any of the real or personal property of each Credit Party, and (b) termination of all blocked account agreements, bank agency agreements or other similar agreements or arrangements or arrangements in favor of Prior Lender Agent or Prior Lender or relating to any Prior Lender Obligations.
