PBGC. No facts or circumstances are known to the Company that would result in the imposition of liability against APP or any of its Affiliates by the Pension Benefit Guaranty Corporation ("PBGC") as a result of any act or omission by the Company or any member of a Controlled Group. No reportable event (within the meaning of Section 4043 of ERISA) for which the notice requirement has not been waived has occurred with respect to any Employee Benefit Plan subject to the requirements of Title IV of ERISA.

No facts or circumstances are known to the Company exist that would result in the imposition of liability against APP APPM, Buyer or any of its Affiliates by the Pension Benefit Guaranty Corporation ("PBGC") as a result of any act or omission by the Company Seller or any member of a Controlled Group. No reportable event (within the meaning of Section 4043 of ERISA) for which the notice requirement has not been waived has occurred with respect to any Employee Benefit Plan subject to the requirements of Title IV of ERISA.
