Common use of pdf Signature Clause in Contracts

pdf Signature. Any Party may deliver its signature to this Agreement, if applicable, or any Notice or other document described in this Agreement or relating to Company by portable document format (PDF) by electronic mail (and in accordance with Article 10, if applicable) to the proper recipient. Any document signed by a Party by PDF by electronic mail and reasonably believed by the recipient to have been sent by or on behalf of that Party shall (a) be binding upon and fully enforceable against that Party as though it had delivered a manually-signed counterpart to the recipient and (b) be accepted by any court as equivalent to a manually-signed counterpart for purposes of any evidentiary rule, and no Party will object to the effectiveness or validity of such PDF signature.
