Pees and Commission. In consideration of WOWIO’s provision of the WOWIO Ad Optimization Service, WOWIO shall be entitled to deduct fees and commissions, and payment from Publisher, as follows: a) WOWIO will pay to Publisher thirty percent (30%) of the Net Ad Revenue actually received from the applicable WOWIO Advertising Clients providing ads for a given Ad Delivery Campaign. “Net Ad Revenue” shall be defined as all revenues generated from and actually paid to WOWIO by all relevant WOWIO Advertising Clients, related to Delivered Ads, and if there is a delivery charge incurred against WOWIO a less delivery cost of three-cent ($0.03) per CPM before the Net Ad Revenue is calculated. WOWIO operating expenses, sales commissions and legal expenses, all as applicable, incurred by WOWIO in the performance of its obligations under this Agreement, shall not be included in the calculation of Net Ad Revenue.
