Pending Litigation and Claims. Notwithstanding anything in this Agreement to the contrary, ASSIGNEE shall INDEMNIFY, DEFEND AND HOLD ASSIGNOR HARMLESS from and against any Claims resulting from the litigation and claims assumed by ASSIGNEE and listed on Exhibit C under the section entitled “ASSIGNEE’s Responsibility,” and ASSIGNEE will perform any undertakings described in said section, except as may otherwise be expressly provided in that Exhibit. ASSIGNOR shall INDEMNIFY, DEFEND AND HOLD ASSIGNEE HARMLESS from and against any Claims resulting from the other litigation and claims listed on Exhibit C under the section entitled “ASSIGNOR’s Responsibility,” except as may otherwise be expressly provided in that Exhibit.
Pending Litigation and Claims. Notwithstanding anything in this Agreement to the contrary, Seller shall indemnify, defend and hold Buyer harmless from and against any Claims resulting from the litigation and Claims listed on Exhibit "G" under the section entitled "Seller Responsibility," except as may otherwise be expressly provided in that Exhibit. Buyer shall indemnify, defend and hold Seller harmless from and against any Claims resulting from the litigation and Claims listed on Exhibit "G" under the section 39 47 entitled "Buyer Responsibility," except as may otherwise be expressly provided in that Exhibit.
Pending Litigation and Claims. Notwithstanding anything in this Agreement to the contrary other than as set forth in this Section 8.10, KMG shall INDEMNIFY, DEFEND AND HOLD W&T HARMLESS from and against any Claims resulting from the litigation and claims listed on Exhibit C.

Except as disclosed in writing to BofA, neither Company nor any of its officers or directors are a party to any pending litigation brought by a Customer, Network or Network Member alleging a violation of any Operating Rules, or have ever been fined or penalized by any Network or Network Member.
Pending Litigation and Claims. There is pending a lawsuit concerning conflicting claims to interests in this Partnership. Said proceeding is pending in the circuit court of the Fourteenth Judicial District in the State of Florida in and for Bay County under Case Number 87-3325. Nothing contained in this Agreement shall be deemed to constitute a warranty with respect to the true right to Ownership Interest and/or rights to the Panama City Market. Each Minority Partner hereto shall be responsible for the preservation of his or her own interest in this Partnership and/or the Panama City Market. If additional Partners are admitted as a result of decree or settlement, such event shall not give rise to a claim for damages and/or equitable relief in favor of any Minority Party hereto. The Executive Committee shall by majority vote have absolute and unfettered discretion and authority to settle claims to participate in this Partnership on whatever terms it deems by majority vote to be in the best interests of this Partnership even though such settlement may reduce the interest of each Minority Party in this Partnership, provided such action is taken in good faith.

SELLER shall indemnify, defend and hold BUYER harmless from and against any Claims resulting from the litigation and claims listed on Exhibit C under the section entitled "SELLER's Responsibility," except as may otherwise be expressly provided in that Exhibit. Furthermore, if BUYER is a party in any of the litigation listed on Exhibit C against SELLER, BUYER shall release SELLER from its Claims and dismiss such litigation with prejudice. These matters shall not constitute an Adverse Environmental Condition or a Title Defect.

SELLER shall INDEMNIFY, DEFEND AND HOLD PURCHASER HARMLESS from and against any Claims resulting from the litigation and claims listed on Exhibit C, to the extent SELLER, by this Agreement, has accepted liability related to such claims and litigation.

CONOCO shall indemnify, defend and hold SOUTHWEST harmless from and against any Claims resulting from the litigation and claims listed on Exhibit C under the section entitled "Conoco Responsibility," except as may otherwise be expressly provided in that Exhibit.
