Pending Proceedings; Orders. (a) Except as set forth in Section 4.9 of the Disclosure Schedule, there are no Proceedings (including any condemnation actions) received and pending, or, to the Company’s Knowledge, threatened in writing against, or affecting the Target Companies or any of the Properties. There are no Proceedings pending or, to the Company’s Knowledge, threatened, in which a Target Company is or may be a party affecting the execution and delivery of this Agreement by the Company or the consummation of the transactions contemplated hereby by the Company. (b) Except as set forth on Section 4.9 of the Disclosure Schedule, the Target Companies are not subject to any outstanding Governmental Order.
