Common use of Perfection Actions; Prior Liens Clause in Contracts

Perfection Actions; Prior Liens. Upon the completion of the deliveries, filings and other actions contemplated in Sections 4(a) through 4(d) hereof, the security interest granted to Collateral Agent for the benefit of the Secured Parties pursuant to this Agreement in and to the Pledged Collateral will constitute a perfected security interest therein, superior and prior to the rights of all other Persons therein other than with respect to (i) the Liens identified on Annex A relating to the items of Pledged Collateral identified on such annex and (ii) Liens otherwise permitted hereunder which are created or authorized under any law or regulation of any applicable Governmental Authority and which are required under such law or regulation to be superior to the Lien and security interest created and evidenced hereby (the Liens described in this clause (ii), collectively, "the "Governmental Prior Liens"; together with the Liens described in clause (i) above, "Prior Liens").

Upon the completion of the deliveries, filings and other actions contemplated in Sections 4(a) through 4(d) Section 5 hereof, the security interest granted to Collateral the Administrative Agent for the benefit of the Secured Parties pursuant to this Agreement in and to the Pledged Collateral will constitute a perfected security interest therein, superior and prior to the rights of all other Persons therein other than with respect to (i) the Liens identified on Annex A relating to the items of Pledged Collateral identified on such annex and annex, (ii) with respect to General Collateral acquired after the date hereof, Liens otherwise of the type described in clauses (g), (h), (l), (n), (o), (p), (q), (r) and (u) of the definition of Permitted Liens and (iii) Subordinate Liens (as hereinafter defined) permitted hereunder which are created or authorized under any law or regulation of any applicable Governmental Authority and which are required under such law or regulation to be superior to the Lien and security interest created and evidenced hereby (the Liens described in this clause (iiiii), collectively, "the "Governmental Prior Liens"; together with the Liens described in clause clauses (i) and (ii) above, "Prior Liens").

Upon the completion of the deliveries, filings and other actions contemplated in Sections 4(a5(a) through 4(d5(d) hereof, the security interest granted to Collateral Administrative Agent for the benefit of the Secured Parties pursuant to this Agreement in and to the Pledged Collateral will constitute a perfected security interest therein, superior and prior to the rights of all other Persons therein other than with respect to (i) the Liens identified on Annex A relating to the items of Pledged Collateral identified on such annex and annex, (ii) with respect to General Collateral acquired after the date hereof, Liens otherwise of the type described in clauses (g), (h), (l), (n), (o), (p), (q), (r) and (u) of the definition of Permitted Liens and (iii) Subordinate Liens (as hereinafter defined) permitted hereunder which are created or authorized under any law or regulation of any applicable Governmental Authority and which are required under such law or regulation to be superior to the Lien and security interest created and evidenced hereby (the Liens described in this clause (iiiii), collectively, "the "Governmental Prior Liens"; together with the Liens described in clause clauses (i) and (ii) above, "Prior Liens").

Upon the completion of the deliveries, filings and other actions contemplated in Sections subsections 4(a) through 4(d4(c) hereof and subsections 9(a) and 9(b) hereof, the security interest granted to Collateral the Administrative Agent for the benefit of the Secured Parties pursuant to this Agreement in and to the Pledged Collateral (other than Pledged Collateral covered by certificates of title or ownership) will constitute a perfected security interest therein, superior and prior to the rights of all other Persons therein other than with respect to (i) the Liens identified on Annex A B relating to the items of Pledged Collateral identified on such annex and annex, (ii) Subordinate Liens otherwise permitted (as hereinafter defined) of the type described in clauses (g), (h), (j), (l), (m), (n) and (r) of the definition of Permitted Liens on Pledged Collateral acquired after the date hereof and that attached prior to the Lien granted hereunder or upon the acquisition of such Pledged Collateral and (iii) Subordinate Liens (as hereinafter defined) of the type described in clauses (a) and (b) of the definition of Permitted Liens which are created or authorized under any law or regulation of any applicable Governmental Authority if and which are required under such to the extent that the law or regulation to be creating or authorizing such Lien provides that such Lien is superior to the Lien and security interest created and evidenced hereby (the Liens described in this clause clauses (i), (ii) and (iii), collectively, "the "Governmental Prior Liens"; together with the Liens described in clause (i) above, "Prior Liens").

Upon the completion of the deliveries, filings and other actions contemplated in Sections 4(aSUBSECTIONS 4(A) through 4(d4(C) hereof and SUBSECTIONS 9(A) and 9(B) hereof, the security interest granted to Collateral Administrative Agent for the benefit of the Secured Parties pursuant to this Agreement in and to the Pledged Collateral will constitute a perfected security interest therein, superior and prior to the rights of all other Persons therein other than with respect to (i) the Liens identified on Annex A ANNEX B relating to the items of Pledged Collateral identified on such annex and annex, (ii) with respect to General Collateral acquired after the date hereof, Liens otherwise permitted hereunder which are of the type described in clauses (c), (d), (g) and (m) of the definition of Permitted Liens and clauses (h) - (j) of the definition of Permitted Customary Liens and (iii) Subordinate Liens (as hereinafter defined) created or authorized under any law or regulation Law of any applicable Governmental Authority if and which are required under to the extent that the Law creating or authorizing such law or regulation to be Lien provides that such Lien is superior to the Lien and security interest created and evidenced hereby (the Liens described in this clause (iiiii), collectively, "the "Governmental Prior Liens"; together with , and the Liens described in clause CLAUSES (iI), (II) aboveand (III), "Prior LiensPRIOR LIENS").
