Perfection Certificate; Jurisdiction of Organization; Chief Executive Office. The Grantor has previously delivered to the Collateral Agent a certificate signed by the Grantor and entitled Perfection Certificate (the “Perfection Certificate”). The Grantor represents and warrants to the Secured Parties as follows: (a) the Grantor’s exact legal name is that indicated on the Perfection Certificate and on the signature page hereof, (b) the Grantor is an organization of the type, and is organized in the jurisdiction, set forth in the Perfection Certificate, (c) the Perfection Certificate accurately sets forth the Grantor’s organizational identification number or accurately states that the Grantor has none, (d) the Perfection Certificate accurately sets forth the Grantor’s place of business or, if more than one, its chief executive office, as well as the Grantor’s mailing address, if different, (e) all other information set forth on the Perfection Certificate pertaining the Grantor is accurate and complete, and (f) there has been no change in any of such information since the date on which the Perfection Certificate was signed by the Grantor.

Each Grantor has furnished to the Collateral Agent a certified charter, certificate of incorporation, certificate of formation or other organization document and (f) there has been no change in any a good standing certificate from its jurisdiction of such information since the date on which the Perfection Certificate was signed by the Grantororganization as of a recent date.

The Each Grantor represents and warrants to the Secured Parties as follows: (a) the such Grantor’s exact legal name is that indicated on the Perfection Certificate and on the signature page hereof, ; (b) the such Grantor is an organization of the type, and is organized in the jurisdiction, set forth in the Perfection Certificate, ; (c) the Perfection Certificate accurately sets forth the such Grantor’s organizational federal employer identification number or accurately states that the such Grantor has none, no federal employer identification number; (d) the Perfection Certificate accurately sets forth the such Grantor’s place of business or, if such Grantor has more than oneone place of business, its chief executive office, as well as the such Grantor’s mailing address, if different, ; and (e) all other information set forth on the Perfection Certificate pertaining the to such Grantor is accurate and completecomplete in all material respects. Each Grantor has furnished to the Collateral Agent a certified charter, certificate of incorporation, certificate of formation or other organization document and good standing certificate from its jurisdiction of organization as of a date not earlier than ten (f10) there has been no change in any of such information since Business Days prior to the date on which the Perfection Certificate was signed by the GrantorClosing Date.
