PERFECTION OF THE PLEDGE OVER SHARES. 5.1 The Pledgor, on the date of this Agreement, must: 5.1.1 endorse the share certificates which represent the Pledged Shares, by way of security in favour of the Security Trustee; this endorsement must be certified by a Notary, and must be in the form set out in Schedule D; 5.1.2 deliver the share certificates which represent the Pledged Shares to the Security Trustee or a Delegate, as custodian of the assets granted in pledge; 5.1.3 procure that the Company will annotate the pledge created by this Agreement in the Shareholders' Register ("Libro dei Soci") of the Company in the form set out in Schedule E; and 5.1.4 procure that the Company delivers, within 10 (ten) Business Days from the annotation under Paragraph 5.1.3, to the Security Trustee a notarised copy or a notarised extract of the annotated pages of the Shareholders' Register of the Company.
