Common use of Perfection of Title Clause in Contracts

Perfection of Title. (a) Lessee shall, together with Owner, Owner Participant, Security Trustee and/or Lessor, cause, or, at Lessor’s request, assist Lessor in causing, this Lease, the Lease Supplement and any and all additional instruments which shall be executed pursuant to the terms hereof as permitted by applicable Law, to be kept, filed and recorded in the offices of any Governmental Authorities in the State of Registration as required by the Register, any applicable Aeronautics Authority and any applicable Law. Lessee shall not take any action which would conflict with or adversely affect such filings and recordation of the Lease and such other documents as provided herein. (b) If at any time subsequent to the initial recordation under the preceding clause (a), any filing or recording is reasonably necessary or desirable to protect the interests of Lessor, Owner Participant, Security Trustee and/or Owner, Lessee, upon written request by Lessor, shall cause this Lease, any financing statements with respect hereto, and any and all additional instruments which shall be executed pursuant to the terms hereof, to be kept, filed and recorded or, as necessary to be re-filed and re-recorded in the appropriate office or offices pursuant to applicable Laws, to perfect, protect and preserve the rights and interests of Lessor, Owner Participant, Security Trustee and Owner hereunder and in the Aircraft or any Item of Equipment. At the reasonable request of Lessor and at Lessor’s cost, Lessee shall furnish to Lessor, Owner (if not Lessor), Owner Participant and Security Trustee an opinion of counsel or other evidence satisfactory to Lessor of each such filing or refiling and recordation or re-recordation. (c) Without limiting the foregoing, Lessee shall do or cause to be done any and all acts and things which may be required under the terms of the Mortgage Convention to perfect and preserve the title of Owner and interests of Owner, Owner Participant, Security Trustee and Lessor in the Aircraft within the jurisdiction of any signatory which has ratified the Mortgage Convention if such jurisdiction is in the territory in which Lessee does or is reasonably likely to operate the Aircraft, as Lessor may reasonably request. Lessee shall also do or cause to be done, at its own expense, any and all acts and things which may be required under the terms of any other Law involving any jurisdiction in which Lessee does, or is reasonably likely to, operate, or any and all acts and things which Lessor may reasonably request, to perfect and preserve Owner’s and Owner Participant’s ownership rights regarding the Aircraft within any such jurisdiction.

Perfection of Title. Lessee shall not take any action which would conflict with or adversely affect such filings and recordation of the Lease and such other documents as provided herein. (b) If at any time subsequent to the initial recordation under the preceding clause (a), any filing or recording is reasonably necessary or desirable to protect the interests of Lessor, Owner Participant, Security Trustee Lessor and/or Owner, Lessee, at its own cost and expense and upon written request by Lessor, shall cause this Lease, any financing statements with respect hereto, and any and all additional instruments which shall be executed pursuant to the terms hereof, to be kept, filed and recorded or, as necessary to be re-filed and re-recorded in the appropriate office or offices pursuant to applicable Laws, to perfect, protect and preserve the rights and interests of Lessor, Owner Participant, Security Trustee Lessor and Owner hereunder and in the Aircraft or any Item of Equipment. At the reasonable request of Lessor and at Lessor’s cost, Lessee shall furnish to Lessor, Lessor and Owner (if not Lessor), Owner Participant and Security Trustee ) an opinion of counsel or other evidence satisfactory to Lessor of each such filing or refiling and recordation or re-recordation. (c) Without limiting the foregoing, Lessee shall do or cause to be done any and all acts and things which may be required under the terms of the Mortgage Convention to perfect and preserve the title of Owner and interests of Owner, Owner Participant, Security Trustee and Lessor in the Aircraft within the jurisdiction of any signatory which has ratified the Mortgage Convention if such jurisdiction is in the territory in which Lessee does or is reasonably likely to operate the Aircraft, as Lessor may reasonably request. Lessee shall also do or cause to be done, at its own expense, any and all acts and things which may be required under the terms of any other Law involving any jurisdiction in which Lessee does, or is reasonably likely to, operate, or any and all acts and things which Lessor may reasonably request, to perfect and preserve Owner’s and Owner Participant’s ownership rights regarding the Aircraft within any such jurisdiction.

Perfection of Title. (b) If at any time subsequent to the initial recordation under the preceding clause (a), any filing or recording is reasonably necessary or desirable to protect the interests of Lessor, Owner Participant, Security Trustee and/or Owner, Lessee, at its own cost and expense and upon written request by Lessor, shall cause this Lease, any financing statements with respect hereto, and any and all additional instruments which shall be executed pursuant to the terms hereof, to be kept, filed and recorded or, as necessary and to be re-filed executed, refiled and re-recorded in the appropriate office or offices pursuant to applicable Laws, to perfect, protect and preserve the rights and interests of Lessor, Owner Participant, Security Trustee and Owner Lessor hereunder and in the Aircraft or any Item of Equipment. At the reasonable request of Lessor and at Lessor’s cost, Lessee shall furnish to Lessor, Owner (if not Lessor), Owner Participant and Security Trustee Lessor an opinion of counsel or other evidence satisfactory to Lessor of each such filing or refiling re-filing and recordation or re-recordation. Lessee shall also do or cause to be done, at its own expense, any and all acts and things which may be required under the terms of any other Law involving any jurisdiction in which Lessee does, or is reasonably likely to, operate, or any and all acts and things which Lessor may reasonably request, to perfect and preserve Owner’s and Owner ParticipantLessor’s ownership rights regarding the Aircraft within any such jurisdiction.

Perfection of Title. Lessee shall not take any action which would conflict with or adversely affect such filings and recordation of the Lease and such other documents as provided herein. (b) If at any time subsequent to the initial recordation under the preceding clause (a), any filing or recording is reasonably necessary or desirable to protect the interests of Lessor, Owner Participant, Security Trustee and/or Owner, Lessee, upon written request by Lessor, shall cause this Lease, any financing statements with respect hereto, and any and all additional instruments which shall be executed pursuant to the terms hereof, to be kept, filed and recorded or, as necessary to be re-filed and re-recorded in the appropriate office or offices pursuant to applicable Laws, to perfect, protect and preserve the rights and interests of Lessor, Owner Participant, Security Trustee and Owner hereunder and in the Aircraft or any Item of Equipment. At the reasonable request of Lessor and at Lessor’s cost, Lessee shall furnish to Lessor, Owner (if not Lessor), Owner Participant and Security Trustee an opinion of counsel or other evidence satisfactory to Lessor of each such filing or refiling and recordation or re-recordation. (c) Without limiting the foregoing, Lessee shall do or cause to be done any and all acts and things which may be required under the terms of the Mortgage Convention to perfect and preserve the title of Owner and interests of Owner, Owner Participant, Security Trustee and Lessor in the Aircraft within the jurisdiction of any signatory which has ratified the Mortgage Convention if such jurisdiction is in the territory in which Lessee does or is reasonably likely to operate the Aircraft, as Lessor may reasonably request. Lessee shall also do or cause to be done, at its own expense, any and all acts and things which may be required under the terms of any other Law involving any jurisdiction in which Lessee does, or is reasonably likely to, operate, or any and all acts and things which Lessor may reasonably request, to perfect and preserve Owner’s and Owner Participant’s ownership rights regarding the Aircraft within any such jurisdiction.

Perfection of Title. (a) 13.2.1 Lessee shall, together with Owner, Owner Participant, Security Trustee and/or Lessor, cause, or, at Lessor’s request, assist Lessor in causing, this Lease, the Lease Supplement Agreement and any and all additional instruments which shall be executed pursuant to the terms hereof as permitted by applicable Law, Law to be kept, filed and recorded in the offices of any Governmental Authorities Bodies in the State of Registration as required by the Register, any applicable Aeronautics Aviation Authority and any applicable Law. Lessee shall not take any action which would conflict with or adversely affect such filings and recordation of the Lease and such other documents as provided herein. (b) 13.2.2 If at any time subsequent to the initial recordation under the preceding clause (a)Section 13.2.1, any filing or recording is reasonably necessary or desirable to protect the interests of Lessor, Owner Participant, Security Trustee and/or OwnerLessor and any Lender, Lessee, at its own cost and expense (provided, that, as between Lessor and Lessee, any such costs incurred with respect to the interest of any Lender shall be borne by Lessor) and upon written request by Lessor, shall cause this LeaseAgreement, any financing statements with respect hereto, and any and all additional instruments which shall be executed pursuant to the terms thereof or hereof, to be kept, filed and recorded or, as necessary and to be re-filed executed, refiled and re-recorded in the appropriate office or offices pursuant to applicable Laws, to perfect, protect and preserve the rights and interests of Lessor, Owner Participant, Security Trustee and Owner Lessor hereunder and any Lender in the Aircraft Aircraft, any Engine or any Item of EquipmentPart thereof. At the reasonable request of Lessor and at Lessor’s costXxxxxx, Lessee shall furnish to Lessor, Owner (if not Lessor), Owner Participant and Security Trustee Lessor an opinion of counsel or other evidence satisfactory to Lessor of each such filing or refiling and recordation or re-recordationrecordation (provided, that, as between Lessor and Lessee, any such costs incurred with respect to the interest of any Lender shall be borne by Lessor). (c) 13.2.3 Without limiting the foregoing, Lessee, at its sole cost and expense, will cooperate with Lessor and, if applicable, will procure that the Permitted Sublessee will cooperate with Lessor, to register at Delivery and thereafter during the Term maintain registration of the Aircraft in the name of Lessor, as owner and lessor of the Aircraft, any Lender, as mortgagee of the Aircraft, and Lessee shall (and, if applicable, Permitted Sublessee), as operator of the Aircraft, to the fullest extent permitted by Law in the register of aircraft in the State of Registration and will from time to time take all steps required by Law to maintain such registration. Lessee will not and, if applicable, will procure that the Permitted Sublessee will not, do or cause suffer to be done any and all acts and things anything which may be required under the terms of the Mortgage Convention to perfect and preserve the title of Owner and interests of Owner, Owner Participant, Security Trustee and Lessor in the Aircraft within the jurisdiction of any signatory which has ratified the Mortgage Convention if might adversely affect such jurisdiction is in the territory in which registration. Under no circumstances shall Lessee does or is reasonably likely to operate register the Aircraft, as Lessor may reasonably request. Lessee shall also do or cause allow the Aircraft to be doneregistered, at its own expense, any and all acts and things which may be required under the terms of any other Law involving any jurisdiction in which Lessee does, or is reasonably likely to, operate, or any and all acts and things which Lessor may reasonably request, to perfect and preserve Owner’s and Owner Participant’s ownership rights regarding the Aircraft within any such jurisdictiona Prohibited Jurisdiction.
