Common use of Perfection or Registration of Interest in Foreign Shares Clause in Contracts

Perfection or Registration of Interest in Foreign Shares. With respect to any foreign shares pledged to Agent, for the benefit of the Lenders, on or after the Closing Date, Agent shall at all times, in the discretion of Agent or the Required Lenders, have the right to perfect, at Borrower’s cost, payable upon request therefor (including, without limitation, any foreign counsel, or foreign notary, filing, registration or similar, fees, costs or expenses), its security interest in such shares in the respective foreign jurisdiction.

Perfection or Registration of Interest in Foreign Shares. With respect to any foreign shares pledged to Agent, for the benefit of the Lenders, on or after the Closing Date, Agent shall at all times, in the discretion of Agent or the Required Lenders, have the right to perfect, at Borrower’s cost, payable upon request therefor (including, without limitation, any foreign counsel, or foreign notary, filing, registration or similar, fees, costs or expenses), its security interest in such shares in the respective foreign jurisdictionjurisdiction (subject to the proviso in the definition of First-Tier Material Foreign Subsidiary).

With respect to any foreign shares pledged to Agent, for the benefit of the LendersAgent or Collateral Agent by US Borrower or any Domestic Subsidiary, on or after the Third Restatement Closing Date, Agent shall at all times, in the discretion of Agent or the Required Lenders, have the right to perfectrequire the perfection, at Borrower’s Borrowers’ cost, payable upon request therefor (including, without limitation, any foreign counsel, or foreign notary, filing, registration or similar, fees, costs or expenses), its of the security interest in such shares in the respective foreign jurisdictionForeign Jurisdiction.

With respect to any foreign shares pledged to Agent, for the benefit of the Lenders, on or after the Closing Triggering Event Date, Agent shall at all times, in the discretion of Agent or the Required Lenders, have the right to perfect, at Borrower’s cost, payable upon request therefor (including, without limitation, any foreign counsel, or foreign notary, filing, registration or similar, fees, costs or expenses), its security interest in such shares in the respective foreign jurisdiction.
