Common use of Performance and Enforcement of Receivables Sale Agreement Clause in Contracts

Performance and Enforcement of Receivables Sale Agreement. (i) Perform and require the Originators to perform each of their respective obligations and undertakings under and pursuant to the Receivables Sale Agreement and purchase Receivables thereunder in compliance with the terms thereof; (ii) enforce the rights and remedies accorded to the Borrower under the Receivables Sale Agreement and (iii) take all actions to perfect and enforce its rights and interests (and the rights and interests of the Administrative Agent and the Secured Parties as assignees of the Borrower) under the Receivables Sale Agreement as the Administrative Agent or any Facility Agent may from time to time reasonably request, including, without limitation, making claims to which it may be entitled under any indemnity, reimbursement or similar provision contained in the Receivables Sale Agreement.

(i) Perform Seller will, and will require the Originators to Originator to, perform each of their respective obligations and undertakings under and pursuant to the Receivables Sale Agreement and purchase Agreement, will acquire Receivables thereunder in compliance with the terms thereof; (ii) thereof and will enforce the rights and remedies accorded to the Borrower Seller under the Receivables Sale Agreement and (iii) Agreement. Seller will take all actions to perfect and enforce its rights and interests (and the rights and interests of the Administrative Agent Agent, the Managing Agents and the Secured Parties Purchasers as assignees of the BorrowerSeller) under the Receivables Sale Agreement as the Administrative Agent or any Facility Managing Agent may from time to time reasonably request, including, without limitation, making claims to which it may be entitled under any indemnity, reimbursement or similar provision contained in the Receivables Sale Agreement.
