Common use of Performance and Enforcement of the Purchase Agreement Clause in Contracts

Performance and Enforcement of the Purchase Agreement. The Borrower will, and will require Seller to, perform its respective obligations and undertakings under and pursuant to the Purchase Agreement. The Borrower will purchase Receivables under the Purchase Agreement in strict compliance with the terms thereof and will vigorously enforce the rights and remedies accorded to it as buyer under the Purchase Agreement. The Borrower will take all actions to perfect and enforce its rights and interests (and the rights and interests of the Administrative Agent and the Lenders as assignees of the Borrower) under the Purchase Agreement as the Administrative Agent may from time to time reasonably request, including, without limitation, making claims to which it may be entitled under any indemnity, reimbursement or similar provision contained in the Purchase Agreement.
