Common use of Performance-Based Restricted Shares Clause in Contracts

Performance-Based Restricted Shares. The undersigned currently holds 50,541 performance-based restricted shares (“Performance Shares” and, together with the Options, RSUs, PSUs and Restricted Shares, the “Equity Awards”). All Performance Shares will be forfeited as of the Separation Date.
