PERFORMANCE BY EXECUTIVE. During the Employment Period, the Executive shall devote all of his business time, attention, knowledge and skills to, and use his best efforts to perform, the Services and shall promote the interests of the Employer in carrying out the Services. Other than the restrictions contained in Sections 5 and 6 of this Agreement, nothing herein shall be deemed to preclude the Executive from continuing to serve on the board of directors of any business corporation or any charitable organization on which he now serves or, subject to the prior approval of the Board, from accepting appointment to additional boards of directors, provided that such activities do not materially interfere with the performance of Executive's duties hereunder.
PERFORMANCE BY EXECUTIVE. The Executive will perform the Services in a competent and efficient manner, and will carry out all lawful instructions and directions from time to time given by the Company’s President and CEO.

PERFORMANCE BY EXECUTIVE. Nothing contained herein shall operate as a waiver or an election of remedies by Company should Executive fail to perform any duty or obligation imposed upon her hereunder. Notwithstanding anything contained herein to the contrary, this Agreement and the duties and obligations of Executive hereunder shall continue in full force and effect irrespective of any violation of any term or provision of this Agreement by Executive.
PERFORMANCE BY EXECUTIVE. Nothing contained herein shall operate as a waiver or an election of remedies by the Company should Executive fail to perform any duty or obligation imposed upon him hereunder or under the Offer Letter Agreement. No breach or alleged breach of any provision of the Agreement can be waived by any party unless done in writing. Moreover, the waiver of any breach or alleged breach shall not be deemed to be a waiver of any other breach.
PERFORMANCE BY EXECUTIVE. The Executive will perform the Services in a competent and efficient manner and will devote the time and effort necessary to properly and fully perform the Services. The Executive will at all times act in the best interests of Pine Valley and will abide by all policies, practices and procedures of Pine Valley in effect from time to time.
PERFORMANCE BY EXECUTIVE. The performance by the Executive of his duties under this Employment Agreement is the personal obligation of the Executive and may not be delegated by the Executive; however, the Executive may delegate duties and responsibilities to other employees or agents of the Company or its subsidiaries incident to normal and customary management practices.
