Common use of Performance by the Company and the Shareholders Clause in Contracts

Performance by the Company and the Shareholders. The Company and each Shareholder shall have performed and complied with all terms, provisions, agreements, covenants and conditions required by this Agreement to be performed and complied with by them at or prior to the Closing.

Performance by the Company and the Shareholders. The Company and each Shareholder of the Shareholders shall have performed and complied in all material respects with all terms, provisions, agreements, covenants and conditions required by this Agreement to be performed and complied with by them at the Company or any Shareholder prior to or on the ClosingClosing Date.
