Common use of Performance Metric Clause in Contracts

Performance Metric. In the event that Grantee fails to award at least 1,100 Certificates by December 31, 2028, then Grantee shall upon written demand by Triumph repay to Triumph an amount equal to (A) $1,580, multiplied by (B) the sum of (a) 1,100 minus (b) the actual number of Certificates issued as of December 31, 2028.

Performance Metric. In the event that Grantee fails to award at least 1,100 2,535 Certificates by December 31, 20282025, then Grantee shall upon written demand by Triumph repay to Triumph an amount equal to (A) $1,5801,517, multiplied by (B) the sum of (a) 1,100 2,535 minus (b) the actual number of Certificates issued as of December 31, 20282025.

Performance Metric. In the event that Grantee fails to award at least 1,100 1,000 Certificates by December 31, 20282030, then Grantee shall upon written demand by Triumph repay to Triumph an amount equal to (A) $1,5803,863, multiplied by (B) the sum of (a) 1,100 1,000, minus (b) the actual number of Certificates issued as of December 31, 20282030.
