PERFORMANCE OBLIGATIONS OF DEVELOPER. The obligation of the BEDC to pay the Incentive Payment shall be conditioned upon Developer’s continued compliance with and satisfaction of each of the performance obligations set forth below in this Agreement.

Performance Obligations The Purchaser shall have performed in all respects all obligations required to be performed by it under this Agreement at or prior to the Closing.
OBLIGATIONS OF THE DEVELOPER In addition to and not in derogation or substitution of any of its other obligations under this Agreement, the Developer shall have the following obligations:
Obligations of Covered Entity (1) Covered Entity shall notify Business Associate of any limitations in its notice of privacy practices of Covered Entity, in accordance with 45 C.F.R. § 164.520, or to the extent that such limitation may affect Business Associate’s use or disclosure of PHI.
Obligations of Parties Nothing herein shall relieve a Party of its obligations under the Federal Rules, the Bankruptcy Rules, the Federal Rules of Evidence, and the Local Rules, or under any future stipulations and orders, regarding the production of documents or the making of timely responses to Discovery Requests in connection with the Cases.
