Common use of Performance of Agreements; Instruments of Transfer Clause in Contracts

Performance of Agreements; Instruments of Transfer. The Company and the Shareholder shall have fully performed in all material respects all obligations, agreements, conditions and commitments required to be fulfilled by the Company and the Shareholder pursuant to the terms hereof on or prior to the Closing Date and the Shareholder and the Company shall have tendered to the Purchasers the Shares and other documents, instruments and certificates required by Article 8 hereof.

The Company and the Shareholder Existing Shareholders shall have fully performed in all material respects all obligations, agreements, conditions and commitments required to be fulfilled by the Company and the Shareholder it pursuant to the terms hereof on or prior to the Closing Date and the Shareholder and the Company shall have tendered to Truck City the Purchasers the Shares and other documents, instruments and certificates required by Article 8 Articles II and VI hereof.
