Performance of and Authority for Covenants. The Grantor covenants that it will faithfully perform at all times any and all covenants, undertakings, stipulations and provisions contained in the Loan Agreement and this Trust Indenture.

The Issuer covenants that it will faithfully perform at all times any and all covenants, undertakings, stipulations and provisions contained herein, in any and every Bond executed, authenticated and delivered hereunder and in all proceedings of its governing body pertaining thereto, and it is duly authorized under the Constitution and laws of the State of Nebraska to issue the Bonds authorized hereby, to make a loan for the purpose of financing Project Costs, and to assign and pledge the Pledged Revenues as provided herein; and that all action on its part for the issuance of the Bonds and the execution and delivery of this Loan and Trust Agreement has been duly and effectively taken.
