Common use of Performance of Covenants and Agreements Clause in Contracts

Performance of Covenants and Agreements. All of the covenants and agreements of the Sellers contained in this Agreement and required to be performed by the Sellers on or before the Closing Date shall have been performed in all material respects.

Performance of Covenants and Agreements. All of the covenants and agreements of the Sellers Acquiror contained in this Agreement and required to be performed by the Sellers on or Acquiror before the Closing Date shall have been performed in all material respects, and Acquiror shall each have executed and delivered to the Company at Closing a certificate to that effect.
