Common use of Performance of Covenants by the Vendor Clause in Contracts

Performance of Covenants by the Vendor. All of the obligations, covenants and agreements that the Vendor is required to perform or comply with under this Agreement at or prior to the Closing Date (considered individually and collectively), shall have been performed or complied with in all material respects at or prior to the Closing Date and the Purchaser shall have received a certificate to such effect on the Closing Date from a senior officer of the Vendor.
