Performance of Obligations of Buyer. Each of Parent and Buyer shall have performed in all material respects all obligations required to be performed by them, respectively under this Agreement at or prior to the Effective Time, and Seller shall have received a certificate of Parent and Buyer signed on behalf of Parent and Buyer by the chief executive officer or the chief financial officer of Parent and Buyer, in such capacity, to such effect.
