Common use of PERFORMANCE OF OBLIGATIONS OF CFB Clause in Contracts

PERFORMANCE OF OBLIGATIONS OF CFB. CFB and the Acquisition Subsidiary shall have performed in all material respects all obligations required to be performed by either of them under this Agreement at or prior to the Closing Date, and Summit shall have received a certificate signed on behalf of CFB and the Acquisition Subsidiary by the Chairman and Chief Executive Officer and by the Chief Financial Officer of CFB to such effect.
