Common use of Performance of Obligations of Parent and Acquisition Sub Clause in Contracts

Performance of Obligations of Parent and Acquisition Sub. Parent and Acquisition Sub will have performed in all material respects all agreements and covenants required to be performed by them under this Agreement prior to the Closing Date, and Company will have received a certificate signed by an authorized officer of Parent and Acquisition Sub to such effect, in form and substance reasonably satisfactory to Company.

Performance of Obligations of Parent and Acquisition Sub.
