PERFORMANCE OF OBLIGATIONS OF PARENT AND HOLDCO SUB. Each of Parent and Holdco Sub shall have performed in all material respects all of the covenants and obligations required to be performed by them under this Agreement at or prior to the Closing Date, and the Partners' Representative shall have received a certificate signed on behalf of Parent and Holdco Sub to the effect set forth in this paragraph.
