Common use of Performance of Obligations of Seller Clause in Contracts

Performance of Obligations of Seller. Seller will have performed in all material respects all agreements and covenants required to be performed by it under this Agreement prior to the Closing Date except (i) as otherwise contemplated or permitted by this Agreement and (ii) as a result of actions taken or not taken at the direction of or after consultation with and written concurrence of Bridgeline Software, and Bridgeline Software will have received a certificate signed by the president of Seller to such effect on the Closing Date.

Performance of Obligations of Seller. Seller will have performed in all material respects all agreements and covenants required to be performed by it under this Agreement prior to the Closing Date except (i) as otherwise contemplated or permitted by this Agreement and and/or (ii) as a result of actions taken or not taken at the direction of or after consultation with and written concurrence of Bridgeline SoftwarePurchaser, and Bridgeline Software Purchaser will have received a certificate signed by the president an authorized officer or manager of Seller to such effect on the Closing Date.
