Common use of Performance of Obligations of Seller Clause in Contracts

Performance of Obligations of Seller. Each and all of the ------------------------------------ covenants and agreements of Sellers to be performed or complied with pursuant to this Agreement on or prior to the Closing Date shall have been fully performed and complied with in all material respects, and each Seller shall have delivered to Buyer a certificate signed by one of its executive officers confirming the foregoing as of the Closing Date.
