Common use of Performance of Obligations of Seller Clause in Contracts

Performance of Obligations of Seller. Each and all of the covenants and agreements of Seller and Seller Subsidiary to be performed or complied with pursuant to the Transaction Documents on or prior to the Closing Date shall have been fully performed and complied with in all material respects, and Seller shall have delivered to Buyer a certificate signed by an executive officer of Seller confirming the foregoing as of the Closing Date.

Performance of Obligations of Seller. Each and all of the covenants and agreements of Seller and Seller Subsidiary to be performed or complied with pursuant to the Transaction Documents on or this Agreement prior to the Closing Date shall have been fully performed and complied with in all material respects, and Seller shall have delivered to Buyer a certificate signed by an authorized executive officer of Seller confirming the foregoing as of the Closing Date.; (c)
