Common use of Performance of Obligations of the Company and the Sellers Clause in Contracts

Performance of Obligations of the Company and the Sellers. Each Seller and the Company shall have performed or complied in all material respects with all obligations and covenants required by this Agreement or any other Transaction Document to be performed or complied with by such Seller or the Company, as the case may be, prior to the consummation of the Closing.
