The Selling Parties shall have performed in all respects all of its obligations required to be performed by each of them under this Agreement on or prior to the Closing Date. The Buyer shall have received a certificate of each Selling Party signed on behalf of the Selling Party by a duly authorized officer of the Selling Party to such effect.
