Performance of TNCI. TNCI shall have performed and complied with all agreements, terms and conditions required by this Agreement to be performed or complied with and TNCI shall deliver a certificate, in form and substance satisfactory to IFT, to that effect, dated the Closing Date, and signed in the manner set forth in Paragraph 10.5.2, on or before the Closing Date.
