Common use of Performance Share Award Clause in Contracts

Performance Share Award. Upon issuance of your Performance Share Award, you authorize the Company, or its agents, to satisfy the obligations with regard to all taxes by selling Shares of the Company on your behalf, or otherwise withholding from such Shares a number of Shares having a Fair Market Value equal to the amount of all taxes required to be withheld by the Company, pursuant to the policies and processes of the Company’s stock plan administrator and broker.

Performance Share Award. Upon issuance of any Shares of your Performance Share Award, you authorize the Company, or its agents, to satisfy the its obligations with regard to all withhold taxes by selling Shares of the Company on your behalf, or otherwise withholding from such Shares a number of Shares having a Fair Market Value equal to the statutory minimum withholding obligation. Prior the time such withholding is due, you may elect, in a manner and on such forms as provided by the plan administrator, to have additional Shares withheld in excess of the statutory minimum up to the maximum amount of all taxes required to be withheld by the Company, pursuant to the policies and processes of the Company’s stock plan administrator and brokeryour total tax obligation.
