Common use of Permissible Services Clause in Contracts

Permissible Services. The Consultant’s services will include advising the Company’s Board of Directors and senior management on the following matters: (i) in-licensing and out-licensing technologies and compounds; (ii) capitalization and corporate organization of the Company; (iii) structure and pricing of offerings of the Company’s securities in public and private transactions; (iv) alternative uses of corporate assets; (v) structure and use of debt; (vi) application and maintenance of listing of the Company’s stock in securities exchanges and other appropriate markets; (vii) strategic planning (viii) management recruitment and compensation; and (ix) presentations to institutional and professional individual investors in the U.S. and Europe.
