Common use of Permits and Qualifications Clause in Contracts

Permits and Qualifications. All Permits that are currently required for the ownership or operation of the Assets or the Facilities or the conduct of the Business (including, but not limited to, the manufacture, marketing, promotion, sale or distribution of the Products) have been obtained by Seller, are in full force and effect and are listed in SCHEDULE 2.1.7 of the Disclosure Schedule, with their expiration dates, if any. Except for matters covered in Section 5.10, Seller is and has been in compliance in all material respects with all such Permits, and Seller has not received any notice of any alleged violation (whether past or present and whether remedied or not) of, nor any threat of the suspension, revocation, modification, invalidity or limitation of, any such Permit, nor is Seller aware of any basis for any claim of any such violation or any such threat.

Permits and Qualifications. Except for matters covered in Section 5.10, Seller is and has at all times been in full compliance in all material respects with all such Permits, and Seller has not received any notice of any alleged violation (whether past or present and whether remedied or not) of, nor any threat of the suspension, revocation, modification, invalidity or limitation of, any such Permit, nor is Seller aware of any basis for any material claim of any such violation or any such threat. To the extent transferable, all such Permits will be effectively assigned to Buyer without additional liability to Buyer upon the Closing.

All Permits that are currently required for held by Seller relating to the ownership or operation of the Assets or the Facilities or the conduct of the Business (including, but not limited to, the manufacture, use, marketing, promotion, sale or distribution of the Products) have been obtained by Seller, are in full force and effect and are listed in SCHEDULE 2.1.7 of Schedule 2.1.5 to the Disclosure ScheduleMemorandum, with their expiration dates, if any. Except for matters covered Each of these Permits is in Section 5.10full force and effect, Seller is and has been in compliance in all material respects with all such Permitsunless noted on said Schedule 2.1.5, and Seller has not received any notice of any alleged violation (whether past or present and whether remedied or not) of, nor any threat of the suspension, revocation, modification, invalidity or limitation of, any such Permit, nor is Seller aware of any basis for any claim of any such violation or any such threat.
