Permits, Consents, Agreements, Etc. (a) All consents, approvals, or authorizations of, or filings with, any person, entity, government, or governmental agency that are required in connection with the Contemplated Transactions must have been accomplished or obtained. The authorization of the Regulatory Commission of Alaska to a change in the ownership and control of Fairbanks Natural Gas, LLC, must have been obtained and the authorization must be unconditional or must not impose any conditions on IGU that IGU, in its sole discretion, finds unacceptable.
