Common use of PERMITS, FRANCHISES Clause in Contracts

PERMITS, FRANCHISES. The Borrower and each Subsidiary possesses all permits, memberships, franchises, contracts and licenses required and all trademark rights, trade name rights, patent rights and fictitious name rights necessary to enable it to conduct the business in which it is now engaged, except where the failure to own or possess any of the foregoing would not have a material adverse effect on the financial condition or operations of the Borrower and its Subsidiaries taken as a whole.

PERMITS, FRANCHISES. The Borrower and each Subsidiary of its direct and indirect subsidiaries possesses all permits, memberships, franchises, contracts and licenses required and all trademark rights, trade name rights, patent rights rights, copyrights, and fictitious name rights necessary to enable it to conduct the business in which it is now engaged, except where the such failure to own possess, individually or possess any of in the foregoing would aggregate, could not have reasonably be expected to result in a material adverse effect on the financial condition or operations of the Borrower and its Subsidiaries taken as a wholeMaterial Adverse Effect.
