Common use of Permitted Activities of the Issuing Entity Clause in Contracts

Permitted Activities of the Issuing Entity. The Issuing Entity is created for the object and purpose of engaging in the Permitted Activities. In furtherance of the foregoing, the Trustee is hereby authorized and directed to execute and deliver, on behalf of the Issuing Entity, the Cap Contracts and the Swap Agreement, and to execute and deliver on behalf of the Issuing Entity, and to perform the duties and obligations of the Issuing Entity under any agreement or instrument related to the Cap Contracts and the Swap Agreement, in each case in such form as the Depositor shall direct or shall approve in writing, the execution and delivery of any such agreement by the Depositor to be conclusive evidence of its approval thereof.
