Common use of Permitted Affiliate Parent; Affiliate Subsidiary Clause in Contracts

Permitted Affiliate Parent; Affiliate Subsidiary. (a) Any obligation in this Agreement of the Company or any Permitted Affiliate Parent to cause members of the Restricted Group to comply with any covenant shall be construed (i) such that the Company or any Permitted Affiliate Parent shall be required to cause only their respective Subsidiaries that are members of the Restricted Group to comply with that obligation and (ii) as a direct obligation of each Affiliate Subsidiary (if applicable). (b) To the extent that: (i) any representation in this Agreement is stated to be given by the Company in respect of any member of the Restricted Group; and/or (ii) any covenant in this Agreement applies to the Company only or requires that the Company cause any member of the Restricted Group to comply with any such covenant,

(b) To the extent that: (i) any representation in this Agreement is stated to be given by the Company Initial Borrower in respect of any member of the Restricted Group; and/or (ii) any covenant in this Agreement applies to the Company Initial Borrower only or requires that the Company Initial Borrower cause any member of the Restricted Group to comply with any such covenant,
