Common use of Permitted Assignee of Co-Owner Clause in Contracts

Permitted Assignee of Co-Owner. For the purpose of Section 12.5 of the Pooling and Servicing Agreement, the assignment by way of security by the Series 2022-1 Co-Owner in favour of the Indenture Trustee of all of the Series 2022-1 Co-Owner’s rights, benefits and the Series 2022-1 Ownership Interest and the further assignment, if any, by the Indenture Trustee of the Series 2022-1 Ownership Interest pursuant to the enforcement and realization provisions of the Indenture are permitted assignments under the Pooling and Servicing Agreement and, for greater certainty, the Indenture Trustee and any subsequent assignee of the Indenture Trustee is a permitted assignee thereunder.
