Permitted Assignment by Xxxxx. Buyer shall have the right to assign this Agreement upon prior written consent, which shall not be unreasonably withheld, of the Seller, provided (i) the proposed assignee’s creditworthiness is equal to or better than that of Buyer at the Effective Date and (ii) the proposed assignee agrees in writing to perform all of Buyer’s obligations under the Agreement.
