Permitted Assignments of Membership Interests. A Member may assign his/her/its Membership Interest to another Member. No other assignment of a Membership Interest or Governance Rights shall be permitted unless approved by the Members (other than the Member proposing the assignment) unanimously after full disclosure by the assigning Member of the proposed assignment.
